Terms of Service.

§1Definitions

Throughout these Terms, the following capitalized terms have the meanings set out below.

§2Acceptance

By creating an account, paying any amount (including the $1 trial), or otherwise accessing the Platform, you agree to be bound by these Terms, our Privacy Policy, the Earnings Disclaimer, and any addenda that apply to the Tier you select. If you do not agree, do not use the Platform.

You represent that you are at least 18 years of age, that you are not currently barred from receiving services under U.S. law, and that all information you provide is accurate.

§3License Grant

Subject to your continued compliance with these Terms and your payment of all applicable fees, Prestige grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and Content for your personal, non-commercial use, except where commercial use is expressly granted (e.g., the Broker Program, the AI Content Agency Engine, the Franchise Operations Engine).

You may not sublicense, resell, mirror, reverse-engineer, or scrape any portion of the Platform without our prior written consent.

§4User Obligations

You are responsible for:

• Maintaining the confidentiality of your account credentials, including TOTP secrets and recovery codes;
• All activity that occurs under your account, including activity by anyone you authorize;
• Providing accurate, current, and complete account information;
• Notifying Prestige immediately at support@prestigeecosystem.com of any unauthorized access;
• All actions you execute using documents generated by the Platform — Prestige does not file, send, or act on documents for you.

§5Acceptable Use

You may not use the Platform to: harass, defraud, or threaten any person; commit or facilitate any crime; infringe any intellectual property right; transmit malware; bypass security or rate limits; train competing machine-learning systems; or impersonate any person or entity.

Detailed restrictions are set out in the Acceptable Use Policy, incorporated by reference.

§6Membership Tiers

Prestige currently offers five Tiers: Essentials ($19/mo), Foundations ($99/mo), Core ($297/mo), VIP ($997/mo), and Partner ($4,997/mo). Engine availability per Tier is set out on the Engines and Pricing pages and may be updated by Prestige at its discretion.

Tier upgrades take effect immediately. Tier downgrades take effect at the end of the current billing cycle.

§7Billing & Auto-Renewal

7.1The $1 Trial

By starting the 7-day trial, you authorize Prestige (via our payment processor Stripe, Inc.) to charge your payment method $1.00 USD today and the full Tier price (e.g., $19/mo Essentials) on Day 7. You may cancel anytime during the 7 days to avoid the full charge.

7.2Auto-Renewal

After the trial, your subscription automatically renews each billing cycle (monthly or annual) at the then-current rate until cancelled. You will receive an email receipt for each charge.

7.3Price Changes

Prestige may change pricing with at least 30 days' notice to your email of record. Continued use after the change constitutes acceptance.

§8Cancellation

You may cancel anytime from your account settings (Account → Billing → Cancel). Cancellation stops future billing; access continues until the end of the paid period. No partial-month refunds for monthly tiers; pro-rata refund for annual within 14 days (see §9).

§9Refund Policy

Full refund terms are set out in the Refund Policy, incorporated by reference. In summary:

• Cancel during the 7-day trial → no charge beyond initial $1;
• Monthly subscriptions → cancel anytime; no refund of current month;
• Annual subscriptions → pro-rata refund within 14 days; no refund after;
• Engine activation fees → non-refundable once Engine is activated.

§10Intellectual Property Ownership

All Content, software, designs, trademarks, and trade secrets in or related to the Platform are owned by Prestige or its licensors. Nothing in these Terms transfers ownership.

You retain ownership of your User Content. By submitting User Content, you grant Prestige a worldwide, royalty-free license to host, display, and process it solely to provide the Platform.

§11Trademark Use

Ladarren Earl Rivers® and The Lawful Banker® are federally registered trademarks of Prestige Ecosystem Inc. (USPTO Class 036, financial consultancy services). Prestige Ecosystem™, PACOR™, The Citadel™, and all other Prestige sub-brands are common-law trademarks.

You may not use any Prestige trademark without prior written permission, except as expressly permitted by the Broker Program Affiliate Agreement.

§12Disclaimers

Specifically:

• Prestige is not a credit repair organization as defined under CROA. See CROA Disclosure.
• Prestige is not a law firm. Templates and frameworks are not legal advice. Consult a licensed attorney before filing anything.
• Prestige is not a financial advisor or registered investment advisor. Content is educational only.
• Prestige does not offer or sell securities.
• Earnings, results, and outcomes shown anywhere on the Platform are illustrative. See Earnings Disclaimer.

§13Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRESTIGE'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID PRESTIGE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT WILL PRESTIGE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

§14Indemnification

You agree to defend, indemnify, and hold harmless Prestige and its officers, directors, employees, and agents from any claim arising out of (a) your User Content, (b) your use of the Platform, (c) your violation of these Terms, or (d) your violation of any third-party right.

§15Binding Arbitration (PACOR™)

Arbitration will be administered by JAMS under its Comprehensive Arbitration Rules. Venue: Birmingham, Alabama. Each party bears its own fees, except where law requires otherwise. Notice of dispute must be sent to legal@prestigeecosystem.com with at least 30 days for informal resolution before arbitration may be initiated.

30-day opt-out: You may opt out of PACOR™ within 30 days of account creation by emailing legal@prestigeecosystem.com with subject line "PACOR OPT-OUT."

§16Choice of Law

These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-laws principles. The Federal Arbitration Act governs the arbitration provision.

§17Severability

If any provision is found unenforceable, the remaining provisions remain in full force. The unenforceable provision will be modified to the minimum extent necessary.

§18Entire Agreement

These Terms, together with the documents incorporated by reference (Privacy Policy, Earnings Disclaimer, Affiliate Agreement, CROA Disclosure, AUP, Cookie Policy, Refund Policy), constitute the entire agreement between you and Prestige and supersede all prior agreements, representations, or understandings.
